E-Commerce Agreement and Application for Account Registration

Between :

IFASTGROUPE AND COMPANY, LIMITED PARTNERSHIP- INFASCO DIVISION herein represented by its General Partner, Ifastgroupe Inc., and IFC (Fasteners) Inc., a wholly-owned subsidiary of the Partnership, collectively referred to as the "Company"

And :

"Customer" as defined in the registration section of this agreement

Terms of acceptance

By using the Website operated by the Company under the name "Infasco.com", the Customer acknowledges to have read, understood, and agreed to be bound by the terms and conditions of this Agreement and of the Statement of Privacy as well as to comply with all applicable laws and regulations.

Application for Account Registration

Account registration with the Company's Customer Service Center operating under the name "Infasco.com." must be submitted by an authorized representative of the Customer ("Customer Account Administrator") responsible for the administration and the security of the account and empowered to accept the terms and conditions set out below on behalf of the Customer.

The Customer Account Administrator designated in this Application will have full account privileges including the registration of additional usernames and passwords through the Account Administration facility of the Customer Service Center. Additional users with different levels of access and privileges may be registered once the Customer's account with the Company is activated.

The Customer Account Administrator shall ensure that all users registered with Infasco.com are authorized representatives of the Customer at all times. The Customer further agrees that it will be solely responsible for deleting inactive users or reassigning different privileges to existing users associated with the account.

Within forty-eight (48) hours of receipt of the Application for account registration, the Company will take appropriate measures to ascertain that the Application is valid and will assign the necessary security clearance to the Customer Account Administrator.

The Customer Account Administrator will receive through its personal e-mail address a confirmation of the authorized username and a temporary password, which shall be immediately modified to a new personal password, at least eight (8) digits in length.

The temporary password will be valid for forty-eight (48) hours from the date of reception by the Customer Account Administrator and shall have limited privileges.

Account security administration

The Company places the utmost importance in the security aspects of its Website and of Customer account administration. Although the Company will make its best efforts through appropriate means to protect Customer information from loss or misuse, the Customer agrees that it is solely responsible for assigning, maintaining and protecting the confidentiality of usernames and passwords associated with the Company's account.

E-commerce terms and conditions

The terms and conditions of this Agreement will govern all transactions conducted on the Company's Website and may be revised at any time by the Company.

Terms and Conditions of Purchase

All orders are accepted at the Company's prices prevailing at time of shipment and are subject to any increase in transportation charges prevailing at time of shipment. The terms of payment are net thirty (30) days from the date of shipment. All applicable taxes will be charged on orders.

The Company warrants that the best workmanship and materials have been used in the manufacture of its products. If any product is defective or does not conform to the terms of an order, the Company's liability shall be limited to its replacement or, at its option, to its sale price. The Company will have no other liability for direct, consequential or other damages of any kind whatsoever to the Customer or to any other person, firm or corporation, with respect to products supplied by the Company.

The Customer shall notify the Company promptly of any claim with respect to its products and such products shall be held by the Customer for inspection by the Company. No goods will be accepted for return without the Company's prior written approval.

The Company's obligations with respect to orders received and accepted shall be subject to delays caused by fire, strikes, labor disputes, transportation problems, shortages of fuel or other materials, floods, embargoes, defaults on the part of suppliers, acts of God and any other reasons or causes beyond the control of the Company.

Limitation of Liability regarding Website Use

Under no circumstances will the Company be liable to any person or business entity for any direct, indirect, special, incidental, consequential or other damages based on any use of its Website or any other Website to which this Website is linked. Such damages include without limitation, any lost profits, business interruptions, or loss of programs or information. The Customer agrees not to misuse this Website or not to use it in unauthorized manner, including, but not limited to, fraud.

Except as expressly provided otherwise in an agreement between the Customer and the Company, all information and software on this Website are provided "as is", without any other warranties or conditions, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement of intellectual property, or those arising by law, statute, usage of trade or course of dealing. The Company assumes no responsibility for errors or omissions in the information or software or other documents which are referenced by or are linked to this Website.

Trade-marks

The trade-marks displayed on this Website are the property of the Company or other third parties. The Customer is not permitted to use the trade-marks without the prior written consent of their owner.
